1. 接受條款1. Acceptance

當您註冊或使用 Relai 瑞來服務，即表示您已閱讀並同意本條款與 隱私權政策。若您代表公司使用，表示您有權使其受本條款拘束。By signing up for or using Relai, you confirm you have read and agree to these Terms and the Privacy Policy. If you use it on behalf of a company, you represent you have authority to bind it.

2. 服務內容2. The service

Relai 提供全通路 AI 客服與 CRM 工具，包含 AI 自動回覆、收件匣、名單評分、銷售管道與分析。我們可能不時新增、調整或停止部分功能，重大變更將事先通知。Relai provides omnichannel AI customer-service and CRM tools, including AI auto-replies, a unified inbox, lead scoring, pipeline and analytics. We may add, change or discontinue features over time; we'll give notice of material changes.

3. 帳戶3. Accounts

您須提供正確資料並維護帳戶安全，對帳戶下的活動負責。發現未授權使用請立即通知我們。You must provide accurate information, keep your account secure, and are responsible for activity under it. Notify us promptly of any unauthorized use.

4. 可接受使用4. Acceptable use

您不得利用本服務從事違法、詐騙、騷擾、散布惡意程式、侵害他人權利、發送未經同意之訊息（含違反通路與《個資法》之行銷），或規避用量限制與安全機制。您須就您與 AI 對外發送之內容負責，並遵守 LINE、Meta、WhatsApp 等通路規範。You may not use the service for anything unlawful, fraudulent, harassing, malware-spreading, infringing, or to send unconsented messages (including marketing that violates channel rules or the PDPA), nor to bypass usage limits or security. You are responsible for content you and the AI send, and must follow the rules of LINE, Meta, WhatsApp and other channels.

5. AI 免責（重要）5. AI disclaimer (important)

• AI 回覆由大型語言模型生成，可能不準確或不完整，不構成專業（法律、醫療、財務等）建議。AI replies are model-generated, may be inaccurate or incomplete, and do not constitute professional (legal, medical, financial, etc.) advice.
• 涉及金額、權益、健康或法律的回覆，應由您或合格人員確認後再對客戶生效。Replies touching money, entitlements, health or law should be confirmed by you or a qualified person before they take effect with customers.
• 您可設定哪些情境需真人確認；我們提供信心度與轉真人機制作為輔助，但最終責任在於使用者。You can configure which cases require human approval; we provide confidence scores and human-handoff as aids, but final responsibility rests with the user.

6. 付費與取消6. Billing & cancellation

付費方案依所選方案按期收費，不綁約、可隨時取消，取消後於當期結束停止續扣。逾額用量依公告計費。若選擇 BYOK，AI 用量由您直接付給供應商。退款依適用之消費者保護規範辦理。Paid plans are billed per the plan you choose, with no lock-in; cancel anytime and billing stops at the end of the current period. Overage is charged as published. With BYOK, AI usage is paid by you directly to the provider. Refunds follow applicable consumer-protection rules.

7. 智慧財產與資料歸屬7. Intellectual property & data

本服務之軟體與品牌屬於我們。您的資料與您客戶的對話資料屬於您；您授予我們為提供服務所必要之有限使用權。詳見 隱私權政策。The software and brand are ours. Your data and your customers' conversation data are yours; you grant us a limited license to use it solely to provide the service. See the Privacy Policy.

8. 免責與責任限制8. Disclaimers & limitation of liability

服務以「現狀」及「現有」基礎提供。於法律允許之最大範圍內，我們不對間接、附帶或衍生損害負責；對直接損害之總責任以您於請求發生前 3 個月內支付之費用為上限。本條不排除依法不得排除之責任。The service is provided "as is" and "as available". To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages; our total liability for direct damages is capped at the fees you paid in the 3 months before the claim. Nothing here excludes liability that cannot be excluded by law.

9. 終止9. Termination

您可隨時停止使用並關閉帳戶。若您違反本條款或從事危害安全／他人之行為，我們得暫停或終止服務。終止後您仍可於合理期間內匯出資料。You may stop using and close your account anytime. We may suspend or terminate the service if you breach these Terms or act in ways that harm security or others. After termination you may export your data within a reasonable period.

10. 準據法與管轄10. Governing law

本條款以中華民國法律為準據法；因本服務所生爭議，以台灣台北地方法院為第一審管轄法院，但不影響消費者依法之權益。These Terms are governed by the laws of Taiwan (R.O.C.); disputes are subject to the Taipei District Court as court of first instance, without prejudice to consumers' statutory rights.
